Terms of Service

These terms cover your use of the Spidey Labs website. Paid engagements are governed by a separate written Engagement Agreement — where the two conflict, the Engagement Agreement controls.

01 — Section

Scope of these terms

These Terms of Service ("Terms") govern your use of the website at spideylabs.tech (the "Site"), operated by Spidey Labs Limited ("Spidey Labs", "we", "our", or "us"), a private limited company registered in Kenya.

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Important
These Terms cover your use of this website only. Any paid engagement (Sprint, Project, or Retainer) is governed by a separate written Engagement Agreement signed by both parties. Where the Engagement Agreement and these Terms conflict, the Engagement Agreement controls.

02 — Section

Using the Site

You may access and use the Site for lawful purposes — reading about our services, submitting a project enquiry, booking a discovery call, or engaging with publicly-published content.

You agree not to:

  • Use the Site in any way that violates Kenyan or applicable foreign law.
  • Attempt to gain unauthorised access to any part of the Site, our systems, or the underlying infrastructure.
  • Use automated tools to scrape, mirror, or harvest content at a rate that interferes with normal operation.
  • Submit false or misleading information through the contact form, including impersonating another person or organisation.
  • Upload or transmit any malicious code, viruses, or material designed to disrupt the Site or other users.
  • Use the Site to send unsolicited commercial communications.
  • Reverse-engineer, decompile, or attempt to extract source code from the Site beyond what is permitted by law.

We may suspend or restrict access to the Site for any user who materially breaches these Terms.

Paid engagements

Information about pricing, scope, deliverables, and timelines shown on the Site is indicative only and does not constitute a binding offer.

Every paid engagement begins with a written Engagement Agreement that covers (at minimum): scope of work, deliverables, fixed fees per phase, timeline, intellectual-property assignment, confidentiality (NDA), warranties, limitation of liability, and termination. We will not begin chargeable work without a signed agreement.

The Engagement Agreement — not the Site — defines what you are buying and what we are bound to deliver.

04 — Section

Intellectual property

The Site — including its design, layout, text, graphics, logos, and code, except where explicitly marked as belonging to a third party — is owned by Spidey Labs Limited and protected by intellectual-property laws.

You may view, print, or download a single copy of pages for personal, non-commercial reference. Any other use — including reproduction, redistribution, modification, or commercial use — requires our prior written consent.

For client projects: under a signed Engagement Agreement, we customarily transfer all intellectual-property rights in the deliverables to you on final payment. See your Engagement Agreement for the exact terms.

Client logos, screenshots, and case-study material displayed on the Site are used with permission of the relevant client or are publicly available; trademarks are the property of their respective owners.

05 — Section

Information you submit

When you submit information through the contact form or by email, you confirm that the information is accurate and that you have the right to share it (including, where applicable, the right to share information about your employer or organisation).

We treat submissions confidentially in accordance with our Privacy Policy. We do not use enquiry content for marketing or training purposes.

06 — Section

Third-party links and services

The Site may include links to third-party websites, products, or services (for example, our LinkedIn page, GitHub repositories, or a booking tool such as Cal.com or Calendly). We do not control these services and are not responsible for their content, terms, or privacy practices. Your use of any third-party service is governed by that service's own terms.

07 — Section

Disclaimers

The Site and all content are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by Kenyan law and any applicable foreign law that allows such disclaimer.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses. Content on the Site is for general information only and does not constitute legal, financial, or other professional advice on which you should rely.

08 — Section

Limitation of liability

To the maximum extent permitted by law, Spidey Labs Limited, its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or goodwill — arising from your use of, or inability to use, the Site.

Our total aggregate liability for any direct loss arising from your use of the Site is limited to USD 100 or its equivalent in Kenyan Shillings.

For paid engagements, separate liability terms are set out in the Engagement Agreement.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

09 — Section

Indemnification

You agree to indemnify and hold Spidey Labs Limited harmless from any claims, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

10 — Section

Changes to the Site or to these Terms

We may change, suspend, or discontinue all or part of the Site at any time without notice. We may update these Terms from time to time. The revised version will be posted at this URL with a new effective date. Material changes will be highlighted with reasonable notice.

Your continued use of the Site after a change indicates acceptance of the updated Terms.

11 — Section

Governing law and disputes

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles.

Any dispute arising from your use of the Site that cannot be resolved informally will be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya. For clients located outside Kenya, the Engagement Agreement may specify alternative dispute resolution (for example, ICC or Nairobi Centre for International Arbitration).
